These Terms of Use govern your access to and use of the EquityCF website, services, forms, communications, and related features collectively referred to as the “Services.”
In these Terms, “EquityCF,” “we,” “us,” and “our” refer to EquityCF Inc. “You” refers to any person or organization accessing or using the Services.
By accessing or using the Services, you agree to these Terms. If you do not agree, you should not use the Services.
1. About EquityCF
EquityCF provides educational resources, technology, marketing support, issuer onboarding assistance, and other services intended to help companies explore and prepare for capital-raising opportunities.
EquityCF is not a registered broker-dealer, funding portal, investment adviser, law firm, accounting firm, or tax adviser.
When an offering is conducted through Silicon Prairie Capital Partners, LLC, Silicon Prairie serves as the registered broker-dealer responsible for regulated securities-related activities associated with that offering. Silicon Prairie may impose separate terms, eligibility requirements, disclosures, account requirements, and procedures.
Nothing on the EquityCF website should be interpreted as an offer to sell securities or a solicitation of an offer to buy securities by EquityCF.
2. Securities Offerings
Any securities offering referenced through the Services is made only through the applicable offering materials and through the registered intermediary identified for that offering.
For offerings conducted under Regulation Crowdfunding, investment transactions must occur through the platform operated by the registered intermediary. EquityCF does not accept investment funds, execute securities transactions, hold investor assets, or independently approve investments.
Information displayed on EquityCF may be preliminary, incomplete, subject to change, or provided directly by an issuer. An offering may be modified, delayed, withdrawn, rejected, oversubscribed, or closed at any time.
An expression of interest, reservation, email signup, waitlist submission, or request for additional information:
- is not an investment;
- does not create a binding obligation;
- does not guarantee an allocation;
- does not reserve securities unless expressly stated in applicable offering materials; and
- may be withdrawn or disregarded as permitted by applicable law.
You must review the complete offering materials and disclosures provided through the applicable registered intermediary before making an investment decision.
3. Investment Risks
Investing in private companies and crowdfunding offerings involves substantial risk. These investments may be speculative, illiquid, difficult to value, and subject to restrictions on resale.
You may lose some or all of your investment. There is no guarantee that an issuer will meet its objectives, generate revenue, become profitable, pay distributions, conduct a future financing, or provide investors with an opportunity to sell their securities.
Past performance, projections, target returns, valuations, forecasts, market estimates, testimonials, and statements about future events do not guarantee future results.
Invest only after considering your financial circumstances, investment objectives, risk tolerance, and ability to withstand a complete loss.
4. No Investment, Legal, Tax, or Accounting Advice
Content provided through the Services is for general informational and educational purposes only.
EquityCF does not provide individualized investment recommendations or advice. Nothing provided through the Services should be treated as:
- investment advice or a recommendation to buy, sell, or hold a security;
- legal, tax, accounting, or financial advice;
- a representation that an investment is suitable for you;
- an endorsement or guarantee of an issuer, founder, security, or offering; or
- a substitute for independent professional advice.
You are responsible for consulting qualified legal, tax, accounting, investment, or other professional advisers when appropriate.
5. Issuer and Founder Information
Founders and companies may submit information to EquityCF for evaluation, consultation, onboarding, marketing, diligence, or potential referral to service providers and regulated intermediaries.
Submitting information does not guarantee that:
- EquityCF will respond;
- the company will be accepted;
- an offering will be approved or launched;
- a particular exemption or security structure will be available;
- financing will be obtained; or
- any minimum or maximum amount will be raised.
EquityCF and its service providers may review, verify, supplement, or request additional information. EquityCF may decline, pause, or discontinue work with an issuer at any time, subject to any separate written agreement.
You represent that information you submit is accurate, current, complete, and not misleading. You must have the authority to provide the submitted information and materials.
You may not submit confidential information that you are not authorized to disclose. Unless EquityCF has entered into a separate written confidentiality agreement with you, submitting information through the website does not create an attorney-client relationship, fiduciary relationship, or separate confidentiality obligation beyond our Privacy Policy and applicable law.
6. Accounts and Security
Some features may require an account. You agree to provide accurate information and maintain the security of your login credentials.
You are responsible for activity conducted through your account unless caused by EquityCF’s failure to use reasonable safeguards. You must promptly notify us if you believe your account or credentials have been compromised.
You may not:
- impersonate another person or organization;
- create an account using unauthorized information;
- share credentials to circumvent access restrictions;
- attempt to access another user’s account; or
- use the Services for fraudulent, deceptive, or unlawful purposes.
We may restrict, suspend, or terminate access when reasonably necessary to protect users, EquityCF, third parties, or the integrity of the Services.
7. Communications and Electronic Records
By providing your contact information, you agree that EquityCF may send you transactional communications relating to your account, requests, appointments, applications, or use of the Services.
Where permitted by law and based on the preferences you provide, EquityCF may also send educational resources, company updates, or promotional communications. You may unsubscribe from promotional emails through the link included in those emails. Unsubscribing from promotional communications will not prevent necessary transactional or administrative messages.
You consent to receiving records, notices, disclosures, and communications electronically.
8. Acceptable Use
You may use the Services only for lawful purposes.
You may not:
- violate any applicable law or regulation;
- provide false, deceptive, or misleading information;
- interfere with the operation or security of the Services;
- introduce malicious code or harmful technology;
- scrape, harvest, copy, or systematically extract information without authorization;
- bypass authentication, rate limits, or security controls;
- use automated systems to access the Services in a manner that creates an unreasonable burden;
- infringe intellectual property, privacy, publicity, or other rights;
- use information obtained through the Services to send unsolicited communications;
- present EquityCF content as your own; or
- imply that EquityCF or Silicon Prairie endorses you without written authorization.
9. Intellectual Property
The Services and their original content, design, branding, software, text, graphics, logos, and other materials are owned by EquityCF or its licensors and are protected by applicable intellectual-property laws.
Subject to these Terms, EquityCF grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Services for their intended purposes.
You may not reproduce, distribute, modify, sell, license, publicly display, or create derivative works from EquityCF materials without written permission, except as permitted by law.
You retain ownership of materials you submit. You grant EquityCF a nonexclusive license to host, store, reproduce, review, and use those materials as reasonably necessary to provide the Services, evaluate your submission, communicate with you, and perform obligations under any separate agreement.
EquityCF will obtain additional permission before publicly using your company’s name, trademarks, pitch materials, or other submitted content for promotional purposes, unless that permission is included in a separate agreement or submission process.
10. Third-Party Services and Links
The Services may integrate with or link to third-party websites and providers, including Silicon Prairie, scheduling providers, authentication providers, customer-relationship-management platforms, payment providers, document providers, and other vendors.
Third-party services are governed by their own terms and privacy practices. EquityCF does not control and is not responsible for third-party websites, services, content, availability, security, decisions, or conduct.
A link or integration does not necessarily constitute an endorsement.
11. Information Provided by Issuers and Third Parties
Certain information displayed through the Services may be supplied by issuers, founders, service providers, public sources, or other third parties.
Although EquityCF may conduct screening or review, EquityCF does not guarantee that third-party information is accurate, complete, current, or free from error. Screening does not eliminate investment risk and should not be treated as a guarantee, certification, or endorsement.
You are responsible for conducting your own review and relying on the official offering materials made available through the applicable registered intermediary.
12. Availability and Changes
We may add, remove, modify, suspend, or discontinue any portion of the Services at any time.
We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free. Maintenance, vendor outages, technical problems, regulatory requirements, or events outside our control may affect availability.
We may correct errors and update information without prior notice.
13. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.
EquityCF disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted availability.
EquityCF does not warrant or guarantee that:
- any company will qualify for or complete an offering;
- any issuer will raise capital;
- any investment will produce a return;
- information supplied by an issuer or third party is accurate;
- the Services will meet your particular needs; or
- the Services will be free from errors, interruptions, or harmful components.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
14. Limitation of Liability
To the fullest extent permitted by law, EquityCF and its officers, directors, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunities, investment losses, or reputational harm arising from or related to the Services.
To the fullest extent permitted by law, EquityCF’s total liability arising from or relating to the Services or these Terms will not exceed the greater of:
- the amount you paid directly to EquityCF for the applicable Service during the twelve months preceding the event giving rise to the claim; or
- one hundred dollars.
This limitation does not exclude liability that cannot legally be limited or excluded.
15. Separate Agreements
Certain EquityCF services may be governed by a separate written agreement, including issuer-service, marketing, consulting, referral, or onboarding agreements.
If a separate written agreement conflicts with these Terms, the separate agreement controls with respect to the services covered by that agreement.
Securities offerings and brokerage services may also be governed by separate agreements, disclosures, and terms provided by Silicon Prairie or another registered intermediary.
16. Privacy
Our collection, use, and disclosure of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.
17. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
Subject to applicable law and any separate written agreement, legal proceedings arising from these Terms or the Services must be brought in the state or federal courts located in Utah County, Utah. You and EquityCF consent to the jurisdiction of those courts.
18. Changes to These Terms
We may update these Terms periodically. The updated version will be posted on this page with a revised “Last updated” date.
Material changes may also be communicated through the Services or by email when appropriate. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.
19. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.
20. No Waiver
A failure by EquityCF to enforce a provision of these Terms does not waive its right to enforce that provision later.
21. Entire Agreement
These Terms, the Privacy Policy, and any applicable separate written agreement constitute the entire agreement between you and EquityCF regarding the Services covered by them.
